About the course

The importance of the financial sector and the reform of governance worldwide makes this a vital LLM for you if your career aspirations or development are in corporate or financial law. You will examine the structures and constitution of corporate entities and contrast this to the external factors that govern their liquidity and capitalisation. You'll have a holistic view of how law assists in mediating corporate and financial risk.

The core modules of Company Law and International Banking Law and Finance provide you with a solid foundation, with opportunity for study and research of significant breadth and depth. These modules provide an excellent base for you to develop your knowledge and understanding through the optional modules you choose, which can be tailored to areas of your own personal interest, or your career aspirations. You can select your modules to focus on a corporate, financial, commercial or international theme, or alternatively select a range to provide a broader appreciation.

You will enhance your knowledge of company law by choosing the Business Crime and Corporate Governance modules, which highlight the workings of the company. On Business Crime you will examine the sophistication of crime in the commercial and corporate fields - the very situation created by the activities of corporate bodies, and the relative powers and duties of those involved, facilitates the commission of wrong which otherwise might not be possible.

The Corporate Governance module broadens your understanding of the corporate body as an entity, its status and internal workings. You will appreciate the responsibilities of those exercising power within companies.

Recent global events have shown a clear link between the demands of governance and activity in the banking sector, which you can investigate and examine on the Banking and Finance module. The banks as corporate entities, subject to company law and the recommendations of governance, provide an excellent base for exploration of workings of governance and its level of effectiveness, both in the UK and internationally. The Public Procurement module also highlights the scale of funds that can be applicable and the consequent implications.

Throughout the LLM you will address subjects from an international perspective and be able to relate coursework and assignments to different jurisdictions.
 
You can choose to take the Clinic module which is based on a suitable short placement relevant to corporate and finance law. This may be in the law section of JCB or Citibank for example, and is subject to the availability of placements. This module builds on the success we have achieved at undergraduate level for our Clinic module, for which we were Highly Commended by the Attorney General.

"Corporate governance is the 'butter' to company law 'bread'. It is a stimulating and thought provoking subject area which is also very topical in terms of modern day relevance to company law procedures. Whilst undertaking my assignments new events were being reported daily in the newspapers with reference to UK and foreign companies being placed under investigation due to lack of corporate governance regulations in light of the current economic climate.

It is enlightening to contrast UK corporate governance rules with other foreign jurisdictions. I've closely studied the history of corporate governance and how it is applied to the Companies Act 2006, concentrating on the role of directors and their rights, powers and duties and also the rights of majority and minority shareholders.

Corporate governance clearly ties in with company law but also has other far reaching educational benefits which I am able to utilise across my studies."

How you'll learn

You will learn in our fantastic law facilities which include two full size courtrooms. Take the video tour

You will learn alongside your peers, giving you the chance to collaborate with other talented people with a passion for the same kind of legal issues.

You will also work hard to acquire the independent research and writing skills that will enable you to put together strong legal arguments within the pieces of work that you submit.

Your lectures provide a solid foundation in the areas for study. Emphasis is placed on aiding research and guiding you in a way that stimulates your desire and interest to further explore the module area and specific topics.

Opportunity is provided through tutorials and discussion for you to explore topic areas and issues. Also, on an ongoing basis, you will be able to highlight study areas of particular interest.

Your tutors will acknowledge how study of a particular module in isolation serves to develop your knowledge and understanding in this area. Beyond this, the provision of the module in the context of the LLM pathway as a whole is acknowledged and account taken of the link and relationship with other modules you are studying.

How you're assessed


Types of assessment are wide ranging and include assignments, portfolio preparation, reports, case studies and online preparation of material. In many modules you can relate your assessment to different jurisdictions, so that your national law can be the focus of your award.

Assessment is integrated into learning and teaching for modules. A consistent loading of work, managed through the progressive development of work is scheduled in an inclusive and balanced way.

The final masters stage is assessed through the submission of your Independent Study or masters thesis. This will be on a specialist topic of your own choosing. You are supported in preparing this by your tutors here at Derby.

Unique modules

The University of Derby is unique in integrating practice based learning in to all of its LLM provision. This means in effect that regardless of the subject of study you have the opportunity to engage in relevant professional activity within the commercial or public sector.

The Clinic module supports and structures this practice based learning allowing you to gain credit towards your award.
